1. AGREEMENT TO TERMS

Welcome to The Faceless Art (“Company,” “we,” “our,” or “us”). These Terms of Use (“Terms”) govern your access to and use of the thefaceless.art website (“Site”), as well as any content, functionality, products, and services offered on or through the Site, including but not limited to our digital products, NFTs, artwork, educational materials, and exhibitions.

By accessing or using our Site, you agree to be bound by these Terms. If you do not agree to all the terms and conditions of this agreement, you may not access or use our Site or services.

2. INTELLECTUAL PROPERTY RIGHTS AND COPYRIGHT PROTECTION

2.1 Exclusive Ownership

All content appearing on The Faceless Art website (thefaceless.art), social media accounts, exhibitions, products, and marketing materials, including but not limited to:

Artwork and mask designs
Digital images and photographs
Videos and animations
Brand name, logo, and identity elements
Written content and educational materials
Website design and layout
Source code and functionality

is the exclusive property of The Faceless Art LLC and is protected by copyright, trademark, and other intellectual property laws worldwide.

2.2 Copyright Notice

All rights in all content are reserved and retained by The Faceless Art LLC in all mediums and territories throughout the world in perpetuity. No ownership or intellectual property rights in any Content are transferred to you regardless of whether you purchase products or services from us.

2.3 Prohibited Uses

Unless explicitly authorized in writing by The Faceless Art LLC, you are strictly prohibited from:

Copying, reproducing, or downloading any content
Creating derivative works based on our content
Distributing, transmitting, displaying, performing, or broadcasting any content
Selling, licensing, or exploiting any content for commercial gain
Removing any copyright, trademark, or other proprietary notices
Using our content for any public or commercial purposes
Claiming ownership or authorship of our content
Using automated systems or software to extract data or content
Framing or linking to our website without express permission

2.4 Digital Content Protection

The technological measures we implement to protect our digital content must not be circumvented, disabled, or otherwise interfered with. Any attempt to do so violates these Terms and may violate applicable laws, including the Digital Millennium Copyright Act.

2.5 NFT-Specific Restrictions

Ownership of an NFT from The Faceless Art grants you a limited license to display the associated artwork for personal, non-commercial use. It does not transfer copyright ownership of the underlying artwork or confer any right to reproduce, modify, or create derivative works.

2.6 Limited License

2.6.1 Personal Use

We grant you a limited, non-exclusive, non-transferable, revocable license to access and use our website and content solely for your personal, non-commercial purposes in accordance with these Terms.

2.6.2 Purchased Products

Physical products purchased from The Faceless Art (e.g., prints, books) are for personal use and display only. Purchase of physical items does not transfer any intellectual property rights or grant permission to reproduce the designs or imagery.

2.6.3 Social Media Sharing

You may share unmodified images from our official social media accounts using the platform’s native sharing functions (e.g., “Share,” “Retweet”) provided that you:

Maintain all attributions and watermarks
Do not imply endorsement or affiliation
Link back to our original content
Use it in a non-commercial context

2.7 Enforcement

2.7.1 Monitoring

The Faceless Art actively monitors for unauthorized use of our intellectual property. We employ digital watermarking, fingerprinting, and other technologies to track content usage and identify infringement.

2.7.2 Legal Action

We vigorously enforce our intellectual property rights. Unauthorized use of our content may result in:

Immediate termination of your account
Formal cease and desist demands
Copyright infringement claims
Injunctive relief
Monetary damages, including statutory damages of up to $150,000 per infringement
Recovery of legal fees and costs

2.7.3 Reporting Infringement

If you believe someone is infringing on The Faceless Art’s intellectual property rights, please contact us immediately at copyright@thefaceless.art.

2.8 Licensing Inquiries

For inquiries regarding licensing, commercial use, or collaboration involving our artwork or brand, please contact us at licensing@thefaceless.art. Any use without express written permission is strictly prohibited.

3. USER ACCOUNTS

3.1 Account Creation

When you create an account with us, you guarantee that the information you provide is accurate, complete, and current at all times. Inaccurate, incomplete, or obsolete information may result in the immediate termination of your account.

3.2 Account Responsibility

You are responsible for maintaining the confidentiality of your account and password, including but not limited to the restriction of access to your computer and/or account. You agree to accept responsibility for any and all activities that occur under your account and/or password.

3.3 Account Termination

We reserve the right to refuse service, terminate accounts, remove or edit content, or cancel orders at our sole discretion, with or without notice, for any reason including but not limited to violation of these Terms.

4. PURCHASES AND PAYMENT

4.1 Product Information

We strive to display as accurately as possible the colors, images, and details of our products. We cannot guarantee that your computer monitor’s display of any color will be accurate.

4.2 Pricing and Availability

All prices are shown in the applicable currency and do not include taxes or shipping costs, which will be added at checkout. We reserve the right to modify prices at any time. All products are subject to availability, and we reserve the right to discontinue any product at any time.

4.3 Order Acceptance

Your order constitutes an offer to purchase. Our acceptance of your order happens when we send you an order confirmation email.

4.4 Payment Terms

We accept various payment methods as indicated on our Site. By submitting a payment, you represent and warrant that:

You have the legal right to use any payment method(s) in connection with any purchase
The information you supply is true, correct, and complete
You will update account information as necessary to maintain accuracy and completeness

4.5 NFT Transactions

NFT purchases are final and non-refundable. You acknowledge that blockchain transactions are irreversible, and we have no ability to reverse any transactions on the blockchain.

5. PRODUCT POLICIES

5.1 Shipping and Delivery

For physical products, we will make reasonable efforts to ship products according to the delivery timeframes provided at checkout. Shipping times are estimates only and not guaranteed.

5.2 Returns and Refunds

5.2.1 Physical Products

Physical products may be eligible for returns within 14 days of delivery if they are damaged or defective upon arrival. Custom or personalized orders are not eligible for return or refund except in cases of manufacturing defects.

5.2.2 Digital Products

Due to the nature of digital products, all sales are final and no refunds will be issued unless required by applicable law.

5.2.3 NFTs

NFT purchases are final and non-refundable once minted on the blockchain.

5.3 Product Quality

While we make every effort to ensure the highest quality of our products, colors, textures, and finishes may vary slightly from the images shown on our Site.

6. USER SUBMISSIONS

6.1 User Content

Our Site may allow you to post, link, store, share and otherwise make available certain information, text, graphics, videos, or other material. By providing such content, you grant us the right to use, reproduce, modify, perform, display, distribute, and otherwise disclose to third parties any such material.

6.2 Prohibited Content

You agree not to post content that:

Is unlawful, harmful, threatening, abusive, harassing, defamatory, or invasive of another’s privacy
Infringes any patent, trademark, trade secret, copyright, or other intellectual property
Violates the rights of any third party
Promotes illegal activity or contains sexually explicit content
Exploits, harms, or attempts to exploit or harm minors
Impersonates any person or entity or misrepresents your identity or affiliation
Contains software viruses or any other code designed to disrupt, damage, or limit the function of any computer software or hardware

7. NFT TERMS AND CONDITIONS

7.1 NFT Ownership

Purchase of an NFT from The Faceless Art grants you ownership of the specific NFT on the blockchain, which represents a license to display the associated digital artwork.

7.2 NFT License Rights

NFT ownership grants you a limited, non-exclusive, non-transferable, worldwide license to display the associated artwork for your personal, non-commercial use only. This license is valid only while you own the NFT as recorded on the relevant blockchain.

7.3 Restrictions on NFT Use

NFT ownership does not grant you:

Copyright ownership of the underlying artwork
The right to create derivative works
Commercial exploitation rights
The right to reproduce the artwork outside of personal display contexts
Any right to use The Faceless Art’s name, logo, or brand for commercial purposes

7.4 Transfer of NFTs

When transferring an NFT, all rights and licenses transfer to the new owner, and your rights to the artwork immediately terminate.

7.5 Utility Benefits

Any utility benefits associated with NFTs (access to content, physical products, etc.) are governed by these Terms and may be modified or discontinued at any time at our sole discretion.

8. CULTURAL CONTENT DISCLAIMER

8.1 Contemporary Artistic Interpretations

Our mask designs and artistic creations are contemporary artistic interpretations designed specifically as educational tools rather than claiming to be authentic cultural artifacts. Each collection is developed to create accessible entry points for diverse audiences to engage with cultural wisdom.

8.2 Educational Purpose

All collections are clearly presented as contemporary artistic responses to traditional wisdom, designed to honor and celebrate remarkable teachings while creating accessible educational experiences. This approach acknowledges the continuing sovereignty of cultural groups over their traditions while offering respectful interpretations that serve educational purposes.

8.3 Non-Religious, Educational Position

The Faceless Art takes a non-religious, educational position in its presentation of spiritually inspired artwork. Our work is designed to educate about diverse spiritual and cultural traditions without promoting or endorsing any specific religious belief system.

8.4 No Liability for Offense or Misinterpretation

While we strive for respectful representation, we do not warrant that our artistic interpretations will be free from controversy or disagreement. The Faceless Art is not liable for any offense, misinterpretation, disagreement, or emotional response that may arise from viewing our interpretations of cultural or spiritual themes.

9. DISCLAIMERS AND LIMITATIONS OF LIABILITY

9.1 Disclaimer of Warranties

THE SITE AND ALL PRODUCTS AND SERVICES OFFERED THROUGH THE SITE ARE PROVIDED ON AN “AS IS” AND “AS AVAILABLE” BASIS, WITHOUT ANY WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED. THE FACELESS ART DISCLAIMS ALL WARRANTIES, INCLUDING, BUT NOT LIMITED TO, IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

WE DO NOT WARRANT THAT THE SITE WILL BE UNINTERRUPTED OR ERROR-FREE, THAT DEFECTS WILL BE CORRECTED, OR THAT THE SITE OR THE SERVER THAT MAKES IT AVAILABLE ARE FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS.

9.2 Limitation of Liability

IN NO EVENT SHALL THE FACELESS ART, ITS DIRECTORS, OFFICERS, EMPLOYEES, AGENTS, PARTNERS, SUPPLIERS, OR AFFILIATES, BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING WITHOUT LIMITATION, LOSS OF PROFITS, DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES, RESULTING FROM:

(i) YOUR ACCESS TO OR USE OF OR INABILITY TO ACCESS OR USE THE SITE;
(ii) ANY CONDUCT OR CONTENT OF ANY THIRD PARTY ON THE SITE;
(iii) ANY CONTENT OBTAINED FROM THE SITE;
(iv) UNAUTHORIZED ACCESS, USE, OR ALTERATION OF YOUR TRANSMISSIONS OR CONTENT;
(v) THE PURCHASE OR USE OF ANY PRODUCTS OR SERVICES;
(vi) BLOCKCHAIN TRANSACTIONS OR FLUCTUATIONS IN CRYPTOCURRENCY VALUES;

WHETHER BASED ON WARRANTY, CONTRACT, TORT (INCLUDING NEGLIGENCE), PRODUCT LIABILITY, OR ANY OTHER LEGAL THEORY, AND WHETHER OR NOT WE HAVE BEEN INFORMED OF THE POSSIBILITY OF SUCH DAMAGE.

9.3 Cap on Liability

IF, NOTWITHSTANDING THE OTHER PROVISIONS OF THESE TERMS, THE FACELESS ART IS FOUND TO BE LIABLE TO YOU FOR ANY DAMAGE OR LOSS WHICH ARISES OUT OF OR IS IN ANY WAY CONNECTED WITH YOUR USE OF THE SITE OR ANY OF OUR PRODUCTS OR SERVICES, THE FACELESS ART’S LIABILITY SHALL IN NO EVENT EXCEED THE GREATER OF (1) THE TOTAL AMOUNT PAID BY YOU TO THE FACELESS ART IN THE SIX (6) MONTHS PRIOR TO THE EVENT GIVING RISE TO THE LIABILITY, OR (2) $100.00 CAD.

9.4 No Professional Advice

The content on our Site is for informational and educational purposes only and is not intended as professional advice. We make no representations or warranties regarding the accuracy or completeness of the information provided.

9.5 Indemnification

You agree to defend, indemnify, and hold harmless The Faceless Art, its affiliates, licensors, and service providers, and its and their respective officers, directors, employees, contractors, agents, licensors, suppliers, successors, and assigns from and against any claims, liabilities, damages, judgments, awards, losses, costs, expenses, or fees (including reasonable attorneys’ fees) arising out of or relating to your violation of these Terms or your use of the Site.

10. DISPUTE RESOLUTION

10.1 Governing Law

These Terms shall be governed by and construed in accordance with the laws of the Province of British Columbia, Canada, without regard to its conflict of law provisions.

10.2 Arbitration

Any dispute, controversy, or claim arising out of or relating to these Terms, or the breach, termination, or validity thereof, shall be settled by arbitration in accordance with the rules of the British Columbia International Commercial Arbitration Centre. The arbitration shall be conducted in Vancouver, British Columbia, in the English language.

10.3 Waiver of Class Actions

You agree that any proceedings to resolve or litigate any dispute will be conducted solely on an individual basis. You agree not to seek to have any dispute heard as a class action, representative action, collective action, or private attorney general action.

10.4 Limitation Period

Any claim or cause of action arising out of or related to use of the Site or these Terms must be filed within one (1) year after such claim or cause of action arose, regardless of any statute or law to the contrary. In the event any such claim or cause of action is not filed within such one (1) year period, such claim or cause of action shall be forever barred.

11. MISCELLANEOUS

11.1 Entire Agreement

These Terms, together with our Privacy Policy, constitute the entire agreement between you and The Faceless Art regarding your use of the Site and supersede all prior and contemporaneous written or oral agreements between you and The Faceless Art.

11.2 Waiver

No waiver of any term of these Terms shall be deemed a further or continuing waiver of such term or any other term, and our failure to assert any right or provision under these Terms shall not constitute a waiver of such right or provision.

11.3 Severability

If any provision of these Terms is held by a court or other tribunal of competent jurisdiction to be invalid, illegal, or unenforceable for any reason, such provision shall be eliminated or limited to the minimum extent such that the remaining provisions of the Terms will continue in full force and effect.

11.4 Assignment

These Terms, and any rights and licenses granted hereunder, may not be transferred or assigned by you but may be assigned by The Faceless Art without restriction or notification.

11.5 Force Majeure

The Faceless Art shall not be liable for any failure or delay in performance under these Terms due to causes beyond our reasonable control, including but not limited to acts of God, acts of government, flood, fire, earthquake, civil unrest, acts of terror, strikes or other labor problems, internet service failures, or delays from third-party service providers.

11.6 Survival

The provisions of these Terms which by their nature should survive termination shall survive termination, including, without limitation, ownership provisions, warranty disclaimers, indemnity, and limitations of liability.

11.7 Changes to Terms

We reserve the right, at our sole discretion, to modify or replace these Terms at any time. If a revision is material, we will try to provide at least 30 days’ notice prior to any new terms taking effect. What constitutes a material change will be determined at our sole discretion. By continuing to access or use our Site after those revisions become effective, you agree to be bound by the revised terms.
